Terms of Use

The terms governing your purchase and use of our data and reports. Last updated: August 3, 2026.

These terms govern your use of provenancecapital.nyc and the datasets, reports, and other services offered on it. By using the site or purchasing a data product, you agree to them. If you don't agree, don't use the site.

1. Who we are

Provenance Capital is a brand operated by KUROGIRI LLC, a New York limited liability company.In these terms, “we,” “us,” and “Provenance Capital” refer to KUROGIRI LLC.

Provenance Capital is a data and research service. We are not a lender, mortgage broker, real estate broker, or consumer reporting agency. We do not originate, fund, broker, negotiate, or advise on loans, and we are not a party to any transaction you pursue. Our full scope of service and licensing position is set out in our licensing & disclosures statement, which is part of these terms.

2. What you are buying

We sell two products: datasets of NYC commercial mortgages approaching their maturity window, delivered as a working data file, and single-property intelligence reports. Both are compiled from New York City public records — the Department of Finance ACRIS database, the Department of City Planning PLUTO dataset, and DOF valuations — via the NYC Open Data API. We also publish an informational lender directory and educational guides.

Everything we sell consists of indicators, not confirmed figures. Estimated maturity windows and development-rights figures are modeled — they are not appraisals, confirmed maturities, balances, or payoffs. Verify against the underlying public records before relying on them for any decision.

3. License and acceptable use

When you purchase a dataset or report, we grant you a limited, non-exclusive, non-transferable, revocable license to use that data for your own internal business use. Subject to these terms, that is the only right you receive. You may not:

  • resell, redistribute, republish, sublicense, or otherwise make the data available to any third party, in whole or in part;
  • use the data, in whole or in part, as a “consumer report” or for any purpose covered by the federal Fair Credit Reporting Act (FCRA) — including any decision about an individual's eligibility for credit, insurance, employment, or housing;
  • scrape, crawl, harvest, or bulk-download the site or its underlying data, or attempt to gain unauthorized access to the site or our systems;
  • use the data or the site for any unlawful purpose or in violation of these terms.

You are responsible for lawful outreach. Any contact you make with owners you identify is governed by the Telephone Consumer Protection Act (TCPA), the National Do-Not-Call Registry, CAN-SPAM, and applicable New York law. Data compiled from public records does not carry marketing consent; calls and texts carry obligations different from direct mail. You are solely responsible for complying with those laws.

4. Payment and refunds

Data products are sold for a one-time fee per dataset or report, charged through our third-party payment processor, Stripe. Prices are shown at checkout. You authorize us, through Stripe, to charge the payment method you provide.

Because our products are digital and delivered to you immediately upon purchase, all sales are generally final and non-refundable once the download or report link has been issued, except where a refund is required by law. If you believe you were charged in error or received the wrong product, email us and we will work with you in good faith.

5. No advice, no guarantee

Nothing on this site — the data, the reports, the calculators, the directory, or the guides — is legal, tax, accounting, investment, or financial advice, and none of it should be relied on as such. We do not guarantee any outcome from your use of the data. Figures are indicative illustrations drawn from public records and estimates, subject to change and verification.

6. Third parties

Lenders and other third parties listed on or linked from this site are independent. They are responsible for their own licensing, conduct, privacy practices, and the products they offer. Any dealings you have with them are directly between you and that party, on their terms — we are not responsible for and have no control over those dealings.

7. Intellectual property

The site, its design, our compilations, and our reports are owned by Provenance Capital or its licensors and are protected by intellectual property law. The underlying public records are not ours, but our selection, arrangement, modeling, and presentation of them are. Your license under Section 3 is the extent of your rights; anything beyond that requires our written permission.

8. Disclaimer of warranties

The site, the data, and the reports are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Our data is compiled from public records and modeled estimates; we do not warrant that it is complete, current, or accurate, or that the site will be uninterrupted or error-free.

9. Limitation of liability

To the fullest extent permitted by law, Provenance Capital will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost opportunity, arising out of your use of the site, the data, or the reports. Our total liability for any claim relating to the site or a purchase will not exceed the amount you paid us for the product giving rise to the claim.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless Provenance Capital and its officers, employees, and agents from claims and expenses arising out of your use of the site or the data, your breach of these terms, or your unlawful use of any data — including any resale, use as a consumer report, or outreach in violation of TCPA, Do-Not-Call, CAN-SPAM, or New York law.

11. Changes

We may update these terms. Material changes take effect when posted with an updated date above, and your continued use of the site after that constitutes acceptance.

12. Governing law

These terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to their jurisdiction.
