These terms govern your use of provenancecapital.nyc and the services offered on it. By using the site or submitting a financing request, you agree to them. If you don't agree, don't use the site.
1. What we provide
Provenance Capital is a brand operated by KUROGIRI LLC, a New York limited liability company.In these terms, “we,” “us,” and “Provenance Capital” refer to KUROGIRI LLC.
Provenance Capital publishes a directory of commercial real estate capital providers serving New York City and introduces prospective borrowers to them. We are not a lender, mortgage broker, or real estate broker. We do not originate, underwrite, fund, service, or negotiate loans, and we are not a party to any loan you obtain. Our full scope of service and licensing position is set out in our licensing & disclosures statement, which is part of these terms.
2. Eligibility and business purpose
You may submit a financing request only if you are:
- at least 18 years old and able to enter a binding contract;
- seeking financing for a business, commercial, or investment purpose — not for personal, family, or household use;
- requesting financing on a property that is not, and will not become, your primary residence;
- authorized to share the information you submit.
You must affirm the business-purpose statement before you can submit. Submitting a consumer-purpose or owner-occupied residential request, or misrepresenting the purpose of the financing, breaches these terms, and we may decline or discard the request.
3. Accuracy of what you submit
You agree the information you provide is accurate and complete to the best of your knowledge, and that you'll keep us informed if it materially changes before an introduction is made. We rely on your statements — including the credit range and the business-purpose affirmation — and do not independently verify them.
4. Consent to be contacted
By submitting a request, you consent to be contacted by email by Provenance Capital and by the capital partner we introduce you to, regarding that request.
Calls and texts require separate consent. The phone field is optional, and we ask for that permission in its own box, unchecked by default. It is not a condition of getting matched or of obtaining financing from anyone. If you do not give it, we discard your phone number rather than storing it, and follow-up is email only.
You can withdraw any consent at any time — unsubscribe from an email, reply STOP to a text, or contact us — as described in our privacy policy.
5. No fee to borrowers
Submitting a request and receiving an introduction is free. We charge borrowers nothing, take no success fee, and deduct nothing from loan proceeds. We are compensated by capital partners for advertising placement, through flat recurring fees that vary with neither the number of introductions made nor whether any loan closes — see licensing & disclosures.
6. No advice, no guarantee, no endorsement
Nothing on this site is legal, tax, accounting, investment, or financial advice. Directory listings are informational and independently compiled, and an introduction is not a recommendation or an endorsement, nor a determination that a partner offers the best terms available to you.
We do not guarantee that you will be matched, contacted, offered financing, or approved on any terms. Rates, terms, and figures shown on the site are indicative illustrations only — not offers, quotes, or commitments — and are subject to change, verification, and credit approval by the lender.
7. Third parties
Capital partners and other third parties listed on or linked from this site are independent. They are responsible for their own licensing, conduct, privacy practices, and the products they offer. Once we make an introduction, your dealings are directly with that party, on their terms — we are not responsible for and have no control over those dealings.
8. Tools and calculators
The mortgage, DSCR, and affordability calculators are estimation tools that operate on assumptions you enter. Their output is illustrative, may not reflect any actual loan available to you, and should not be relied on for a financing decision.
9. Acceptable use
You agree not to:
- submit false, misleading, or third-party information without authorization;
- submit requests through automated means, or in bulk;
- scrape, copy, or republish the directory or its underlying data;
- attempt to gain unauthorized access to the site, the partner portal, or our systems;
- use the site for any unlawful purpose or in violation of these terms.
10. Intellectual property
The site, its content, and its design are owned by Provenance Capital or its licensors and are protected by intellectual property law. You may view and use the site for your own evaluation of financing options; anything beyond that requires our written permission.
11. Disclaimer of warranties
The site and services are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site will be uninterrupted or error-free, or that directory information is complete, current, or accurate.
12. Limitation of liability
To the fullest extent permitted by law, Provenance Capital will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost financing, or lost opportunity, arising out of your use of the site or any introduction made through it. Our total liability for any claim relating to the site or services will not exceed one hundred dollars ($100).
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
13. Indemnification
You agree to indemnify and hold harmless Provenance Capital and its officers, employees, and agents from claims and expenses arising out of your use of the site, your breach of these terms, or the inaccuracy of information you submit — including a misrepresentation of the purpose of the financing.
14. Changes
We may update these terms. Material changes take effect when posted with an updated date above, and your continued use of the site after that constitutes acceptance.
15. Governing law
These terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to their jurisdiction.
